The order identifies the beat, selected tier, fee and purchase date. This is a one-time nonexclusive license, not a subscription. Contact: dkmtrdarkmatter@gmail.com.

STARTER: USD29 before tax; full-length MP3; 50,000 combined lifetime streams; five years from purchase. CREATOR: USD49 before tax; full-length MP3 and WAV; 250,000 combined lifetime streams; five years from purchase. Stems are not included. Producer, Unlimited and Production//ACCESS are not offered by this agreement.

PERMISSION: Upon cleared payment and acceptance, Licensor permits Licensee worldwide to incorporate the selected instrumental into one new underlying song and commercially release that song within the selected term and cap. Ordinary clean/censored, radio, performance, instrumental/backing-track and alternate mixes are versions of that song and share its cap. A substantially different composition needs another license. Adding a new producer or artist to a remix needs both parties' written approval. No standalone resale, sharing or redistribution of the beat or files.

USAGE: Count documented public on-demand audio/video plays of the song and all permitted versions worldwide, including paid/free plays and eligible views, without counting the same play twice. Exclude private previews and inaccessible analytics. No separate download or live-performance-count cap. One ordinary artist music video and promotional excerpts are permitted; eligible video plays count. Commercial third-party ads, film, television, games and other sync require separate written composition and master clearance. No exclusive Content ID/fingerprinting claim on the shared beat; recording-specific claiming requires written agreement that avoids conflicting claims.

COMPOSITION: The finished composition is allocated 50% to DKMTR and 50% to artist-side writers combined. Collaborators share their respective side's half unless separately agreed in writing. Complete a signed split sheet with actual writers, legal names, PRO/IPI and publishing administration before release. Register consistent shares of the entire work; writer and publisher accounting pools do not create extra ownership.

MASTER: DKMTR receives 50% ownership of the new finished master and 50% of defined master revenue; the artist side shares the other 50%. To effect that agreed ownership, Licensee assigns to Licensor a 50% undivided interest in the finished master to the extent Licensee owns and can convey those rights, effective upon creation. Licensee must obtain separate signed grants from other rights owners needed to complete the 50/50 allocation before release. Acceptance does not bind non-signing collaborators or transfer their rights. Ownership and revenue shares are distinct and do not create double payment. The original instrumental remains Licensor's underlying work.

ACCOUNTING: Split actual master receipts 50/50 after documented distributor/platform fees, refunds and chargebacks directly tied to those receipts. Include streaming, downloads, master-side video/sync/license income and applicable SoundExchange recording-owner receipts. Count once and credit direct payments. Exclude composition/publishing income, live fees, merchandise, the upfront beat fee and statutory artist/nonfeatured SoundExchange shares. Other expenses are not deductible without both parties' prior written approval of amount/cap and recovery. Statements and payments are due within 45 days after each quarter; show source, version, deductions, direct payments and balance. Amounts below USD25 may carry forward but outstanding balances are paid at year-end. Retain relevant records three years; either party may inspect them annually at its own expense. Use distributor splits where available and separately report other receipts.

RELEASE: Artist leads release date, distributor, cover art and ordinary promotion and supplies release details and producer credit to DKMTR. Both parties' written approval is required for collaborator remixes, third-party master sync, exclusive master licenses, master sales/transfers and major-label deals affecting the master. Composition clearance is separate. Respond within ten business days; silence is not approval.

CAPS & UPGRADES: Provide available platform analytics on reasonable request, no more than quarterly absent a concrete dispute, and notify DKMTR at 80% of the cap. Upgrade the same beat/song for the positive difference between the higher tier's current one-time price and the earlier actual fee or USD29 credit applied, excluding taxes; no refund for a negative difference. The higher tier's term starts on upgrade and prior lifetime streams still count. If over cap, contact DKMTR promptly. A 30-day cure period begins on the earlier of written notice or buyer awareness; arrange an upgrade or stop distribution. Further use after cure needs an upgrade or separate written permission.

TERM: Renewal before expiry costs 50% of the then-current price of the same tier, subject to availability and rights; it adds the same term without resetting lifetime usage. No automatic renewal or recurring charge. After expiry, further exploitation needs renewal or written permission. Agreed ownership and payment obligations survive expiration; ownership alone does not expand the underlying instrumental license.

ACCEPTANCE & DELIVERY: Review and retain these terms before buying. Enter your legal name and affirmatively select acceptance as your electronic signature for this identified beat and tier. Electronic acceptance is associated with your order; you consent to retain the agreement electronically. After successful payment, receive the selected audio package through Wix digital delivery. Report missing, corrupt or incorrect files to the contact above with the order number. Applicable consumer rights are not waived. Separately signed written amendments control over conflicting standard terms.

This agreement implements the selected commercial terms. It has not been reviewed by an attorney.
